The flow of production and data processing

According to the contract law of the People’s Republic of China, the hirer and the hiree negotiate an agreement equally, both parties sign the contract of each own accord, and shall abide by the terms and conditions listed in this contract. The hirer: The hiree: Beijing BOYA WEIYE information technology Co., Ltd. The hiree’s obligations:
1. The hiree shall input the data supplied by the hirer as required by the hirer, and ensure that the data shall be completed within workdays. The hiree shall go to fetch and deliver the data and information as required by the hirer. The hiree shall not be responsible for the delay caused by the hirer during supplying data or the program problems. 2.The hiree must ensure that the error rate of the input data is less than , if there are some characters or words that cannot be recognized or certain by devices or human found in the text, The hiree shall make marks on these characters or words, but these shall not be counted as the errors. 3. The hiree shall accept the inspection and spot-check by the hirer at any time, if there are errors or mistakes found in the work product, the hiree shall rectify them in time according to the hirer’s demands. 4.In order to ensure the safety of original and processed data, the hiree shall designate special person to manage and backup all data, and provide a room and file cases especially for the storage and placement of the original data.
The hirer’s obligations: 1. The hirer shall provide the input software platform and other software tech supports relating to the input work, the hirer is obligated to install and debug the platform needed for input. 2. The hirer shall check and accept the work product delivered by the hiree within 2 workdays after the hiree delivers the work product. Provided that the hirer dissents from the work product, the hirer shall put forward suggestion and require the hiree to correct the error(s) or mistake(s) in time, and then the hiree shall return the rectified work product to the hirer; provided that the hirer does not dissent from the work product within 2 workdays, both parties shall regard that the input data meet the requirements. 3. During the project, if the hirer ensures that the input amount of work fetched and delivered by the hiree every time is worth 500 yuan (RMB), the hiree shall exempt from the fee of fetching and delivering, and charge the hirer for the actual input fee. Settlement standard: Payment method: The hirer shall pay of the total project fee for the advance payment before the hiree starts working. The hirer shall pay off the total fee with check or cash within 7 days after the hiree delivers the electronic work product or settle the account for this time when the project fee add up to more than yuan (RMB). Where an interruption caused by the hirer in the course of supplying data lasts for 15 days, then the project may be regarded as termination, the hirer shall settle all fees for the work product completed. Time limit of payment: Provided that the hirer delay paying the fees, the hiree is entitled to claim an extra 5% payment of the total project fee per day as the indemnity for the hiree. The 266 th article of the Contract law of P.R.C provides: “The hiree shall keep the relevant information confidential as required by the hirer, and may not retain any replica or technical material without permission by the hirer. “ In case the hiree does not fulfill the obligation of keeping the relevant information confidential, and cause economic loss for the hirer, the hirer is entitled to demand the indemnity from the hiree and resort to the law. The content and range of confidentiality
(1) The all information in connection with technology and management of the hirer, and including but not limiting to the manufacturing method of product 、 technology 、 data 、 program 、 design 、 the client’s list 、 information concerning the source of goods 、 the tendering files 、 marketing plan 、 managing decision-making and other business secrets, are totally reckoned as the content and range of confidentiality. (2)Any action offering the information covered in the content of confidentiality to others in the direct 、 indirect 、 oral 、 written or other ways shall be regarded as the action of revealing the secret. The rights and obligations of both parties:
(1) The hiree shall secure the hirer’s benefits consciously, and abide by the hirer ’s prescription on confidentiality strictly. (2) The hiree may not reveal the information relating to the hirer’s business secrets that the hiree knows to any organization and individual. (3) The hiree may not try to gain the expedience with the hirer’s business secrets that the hiree knows. (4) The hiree may not possess the business secrets acquired during the working and developing, the relevant information 、 drawings 、 samples can not be retained, all of these data must be completely deleted after the project ended. (5) The hiree shall delete all data for this project entirely within 8 hours after payment. The contract is made out in duplicate, and each party shall hold one copy of the contract. A ll disputes arising from the execution of or in connection with the contract shall be settled through amicable negotiation between both parties. I n case no settlement to dispute can be reached through negotiation, the disputes shall be submitted for arbitration. The contract shall come into effect from the day of signature.
